Welcome to Memory Doodle! These Terms of Service (“Terms”) govern your use of our website, applications, products, and services (collectively, the “Services”), which are powered by Shopify and operated by Memory Doodle (“we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree with these Terms, you may not use our Services.


User Commitments

To keep Memory Doodle safe and enjoyable for everyone, you agree that:

  1. Upload only what you have rights to. You must own the photos you upload or have permission from the rightful owner.
  2. Do not upload illegal or harmful content. This includes copyrighted images without a license, exploitative or abusive images, or any content prohibited by law.
  3. You are responsible for your uploads. Any consequences of using unauthorized or illegal images rest with you, not Memory Doodle.


1. Eligibility

You must be at least the age of majority in your jurisdiction to use the Services. By using the Services, you represent and warrant that you meet this requirement.


2. User Accounts

To create and manage books, you may need to create an account. You agree to provide accurate and complete information and to keep your account credentials secure. You are responsible for all activity under your account.


3. User-Provided Content

3.1 Uploads

Our Services allow you to upload photographs, images, or other content (“Uploads”) to generate coloring-book illustrations and print-ready files.

3.2 Responsibility for Content

You represent and warrant that:

  • You own or have obtained all necessary rights, licenses, and permissions for any Uploads you provide;
  • Your Uploads do not infringe, misappropriate, or violate the intellectual property rights, privacy rights, or other rights of any third party;
  • Your Uploads do not contain illegal, harmful, abusive, or otherwise prohibited material, including but not limited to child exploitation, hate speech, or obscene content.
  • You have obtained consent from every identifiable person in your Uploads, including parental/guardian consent for minors.

3.3 Prohibited Content

You may not upload, create, or share content that is:

  • Illegal under applicable law;
  • Infringing of copyrights, trademarks, or other intellectual property rights without proper authorization;
  • Offensive, obscene, abusive, harassing, or otherwise inappropriate;
  • Harmful to others, including depictions of children without parental/guardian consent.

3.4 Consequences of Violations

You are solely responsible for your Uploads and any consequences of providing them. By using our Services, you agree to indemnify and hold harmless Memory Doodle, its affiliates, and service providers from and against any claims, damages, or liabilities arising out of your Uploads. We reserve the right to remove or refuse to process any Uploads that we believe violate these Terms, and to cooperate with law enforcement as required.


4. License You Grant Us

By submitting Uploads, you grant Memory Doodle and our service providers a limited, non-exclusive, royalty-free license to use, reproduce, modify, and process your Uploads solely for the purpose of providing the Services (including AI processing, PDF creation, printing, and shipping). We do not claim ownership of your Uploads beyond what is necessary to fulfill your orders.


5. Proof Approval and Variance

When you click “Approve & Checkout,” you are approving your final proof. After approval, we are not responsible for errors present in the proofs (such as typos, cropping, or layout selections). Minor differences in color, tone, or trimming between on-screen previews and printed books may occur and are not considered defects.


6. Orders and Payments

All purchases are subject to availability, acceptance, and applicable taxes. Orders are placed through Shopify’s secure checkout. Pricing, shipping, and refund terms are detailed on our website and may change from time to time.


7. Intellectual Property of Memory Doodle

All intellectual property rights in the Services (excluding your Uploads) remain with Memory Doodle or our licensors. You may not copy, reproduce, or distribute any part of the Services without prior written permission.


8. Prohibited Uses

You agree not to misuse the Services, including but not limited to:

  • Interfering with or disrupting the Services or servers;
  • Circumventing security or authentication measures;
  • Using the Services for fraudulent, unlawful, or commercial purposes beyond personal book creation.


9. Limitation of Liability

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Services or products shall not exceed the amount you paid us for the order giving rise to the claim in the twelve (12) months preceding the event.


10. Indemnification

You agree to indemnify, defend, and hold harmless Memory Doodle, its affiliates, officers, employees, and service providers from and against any claims, damages, liabilities, costs, or expenses (including reasonable attorney’s fees) arising from your Uploads, your use of the Services, or your violation of these Terms.


11. Termination

We reserve the right to suspend or terminate your account and access to the Services at any time if we believe you have violated these Terms, engaged in unlawful activity, or created risk or liability for us.


12. DMCA Policy and Copyright Agent

We respect the intellectual property rights of others and comply with the Digital Millennium Copyright Act (“DMCA”). If you believe that material on the Services infringes your copyright, you may send a notice to our Designated DMCA Agent:

A proper DMCA notice must include the following (17 U.S.C. §512(c)(3)):

  • Your physical or electronic signature;
  • Identification of the copyrighted work claimed to have been infringed, or a representative list if multiple works are involved;
  • Identification of the material that is claimed to be infringing, with information reasonably sufficient to allow us to locate it;
  • Your contact information, including address, telephone number, and email address;
  • A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and
  • A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.

Upon receipt of a valid notice, we may remove or disable access to the allegedly infringing material.

Counter-Notification

If you believe material was removed or disabled by mistake or misidentification, you may file a counter-notification with our DMCA Agent that includes (17 U.S.C. §512(g)(3)):

  • Your physical or electronic signature;
  • Identification of the material that has been removed or disabled and the location where it appeared before removal;
  • A statement, under penalty of perjury, that you have a good-faith belief the material was removed or disabled as a result of mistake or misidentification;
  • Your name, address, and telephone number, and a statement consenting to the jurisdiction of the federal court in your district (or where Memory Doodle is located if you reside outside the United States), and that you will accept service of process from the original complaining party or its agent.

Repeat Infringers

Memory Doodle has adopted a policy of terminating, in appropriate circumstances, users who are repeat infringers.


13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to conflict-of-laws principles.


14. Dispute Resolution; Arbitration; Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your order will be resolved by binding arbitration administered by JAMS under its Streamlined Rules. You and Memory Doodle waive the right to a jury trial and to participate in a class action, class arbitration, or other representative proceeding. Either party may bring an individual claim in small-claims court instead of arbitration. This section is governed by the Federal Arbitration Act and survives termination of these Terms.


15. Changes to Terms

We may update these Terms from time to time. Updates will be posted with a new “Last Updated” date. Continued use of the Services constitutes acceptance of the revised Terms.
